Agreement to these terms

These Terms of Service govern your use of optimus-gen3order.us and of the reservation request form published on it. By using the site you agree to them. If you do not agree, please do not use the site.

If you are using the site on behalf of an organisation, you confirm that you are authorised to accept these terms on its behalf, and "you" means that organisation.

Who may use this site

• You must be at least 18 years old and legally able to enter into a contract.
• The Optimus Gen 3 platform is offered to organisations for commercial, industrial and research use. It is not a consumer product and is not offered for domestic or personal use.
• You must not use the site if you are located in, or are ordinarily resident in, a jurisdiction subject to comprehensive trade sanctions, or if you appear on a restricted-party list maintained by a relevant authority.

Reservation requests are not orders

This is the most important section on this page, so it is stated plainly.

A request is processed as follows.

• We acknowledge receipt and review the configuration you submitted.
• We issue a written quotation stating the final price, the allocation window, the build lock date and the applicable delivery terms.
• A contract comes into existence only when that quotation is accepted in writing by both parties.

We may decline a request, in whole or in part, including where the configuration is unavailable, where export control or sanctions rules prevent supply, where the intended use is outside the platform's design envelope, or where the details provided are incomplete or appear inaccurate. Where we decline, we will say so in writing.

Prices, configurations and specifications

Prices shown in the configurator are indicative, expressed in United States dollars, and exclude taxes, duties, insurance, delivery and installation. They are not an offer capable of acceptance.

Specifications published on this site describe revision 3.4 of the platform, measured under the conditions stated alongside them. We develop the product continuously and may change specifications, features and options. Where a change materially reduces performance against a figure stated in an accepted quotation, we will tell you before the build lock date and you may cancel without penalty.

We take care to keep this site accurate, but typographical errors, omissions and pricing errors can occur. Where an obvious error is identified, we are not obliged to honour it and will contact you with the corrected figure before proceeding.

Acceptable use

You agree not to do any of the following.

• Use the site in a way that breaches any applicable law or regulation, including export control and sanctions law.
• Submit false, misleading or impersonated details, or another person's information without their authority.
• Attempt to gain unauthorised access to the site, its servers, or any connected system.
• Introduce malicious code, or attempt to interfere with the availability or integrity of the site.
• Scrape, harvest or systematically extract content, or place the site behind automated request tooling at a volume that degrades service for others.
• Reproduce, mirror or resell any part of the site or its content without written permission.

We may suspend or withdraw access to the site without notice where we reasonably believe this section has been breached.

Intellectual property

All content on this site — including text, the technical drawings and diagrams, layout, design, source code, specification data and the Optimus Gen 3 name and marks as used here — is owned by Optimus Robotics or licensed to it, and is protected by copyright and other intellectual property rights.

You may view the site, and print or download extracts for your own internal evaluation of the product. You may not otherwise copy, adapt, distribute, publish or commercially exploit any part of it. No licence is granted by implication or estoppel.

Third-party names and standards referred to on this site, including ISO standards and software project names, remain the property of their respective owners and are used for identification only.

Third-party links and resources

Where the site links to or loads a resource operated by someone else, that is for convenience or function only. We do not control those resources, do not endorse their content, and are not responsible for them. Your use of a third-party resource is governed by that party's own terms.

Disclaimer of warranties

The site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all representations, warranties and conditions that are not expressly set out in these terms, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement.

We do not warrant that the site will be uninterrupted, timely, error-free, or that defects will be corrected. Nothing in this section limits any warranty expressly given in a signed contract for the supply of a unit.

Limitation of liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.

Subject to that, and to the fullest extent permitted by law:

• We are not liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, goodwill, anticipated savings or data, however arising.
• Our total aggregate liability arising out of or in connection with your use of this site is limited to one hundred United States dollars (US$100).

Liability arising under a signed contract for the supply of a unit is governed by that contract, not by this section.

Indemnity

You agree to indemnify and hold harmless Optimus Robotics and its officers, employees and agents against any claim, loss, liability or reasonable cost arising from your breach of these terms, your misuse of the site, or your violation of any law or third-party right in connection with the site.

Export control and sanctions

Robotics hardware and the associated software may be subject to export control and sanctions law in the United States and elsewhere. You agree not to export, re-export, transfer or divert any product or technical data obtained through us in breach of those rules, and you confirm that you are not acting for a restricted party or for a prohibited end use.

Changes, suspension and termination

We may amend these terms. The revised version takes effect when published on this page, and the date at the top is updated. Continuing to use the site after that constitutes acceptance. Where a change materially affects a request you have already submitted, we will tell you and give you the opportunity to withdraw it.

We may modify, suspend or discontinue the site or any part of it at any time, without liability to you.

Governing law and disputes

These terms and any dispute arising out of them or out of your use of the site are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. The courts of the State of Delaware have exclusive jurisdiction, and you consent to that jurisdiction and venue.

If you are a consumer resident in the European Union or the United Kingdom, this section does not deprive you of the protection of mandatory provisions of the law of your country of residence, or of your right to bring proceedings there.

Before commencing proceedings, please contact us in writing so that we can attempt to resolve the matter directly. We commit to responding substantively within 30 days.

General

• Severability. If a provision is found unenforceable, it is modified to the minimum extent necessary and the remainder stays in force.
• No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
• Assignment. You may not assign your rights under these terms without our written consent. We may assign ours on a reorganisation, merger or sale of the business.
• Entire agreement. These terms, together with the Privacy Policy, Cookie Policy and Disclaimer, form the entire agreement between us regarding the site.
• Force majeure. Neither party is liable for a failure to perform caused by an event beyond its reasonable control.
